1. Definitions

• Client – An individual or business that engages the services of a HD & ASTRO VA for remote support or project-based assistance or purchases digital products at hdastrova.co.uk.

• Project – A clearly defined task or service agreed upon by the Client and the HD & ASTRO VA, including a set price and a mutually agreed-upon completion timeline.

• Product – A digital or virtual item purchased through the website hdastrova.co.uk and delivered electronically, typically via email.

5.2.It is Client's responsibility to read through third-party policies.

6. Client Data/Content Protection & Privacy

6.1. The HD & ASTRO VA is committed to upholding the highest standards of data protection and confidentiality. Client information and content will never be reused or shared with third parties without the Client’s explicit consent. All data is managed in full compliance with applicable UK Data Protection Laws, including the General Data Protection Regulation (GDPR).

6.2. No Client files, content, or sensitive information will be retained beyond the duration of the agreed project. Upon project completion, all associated data will be securely deleted from the HD & ASTRO VA systems, unless retention is necessary for a pre-agreed future collaboration.

6.3. For security purposes, the Client is responsible for updating all passwords and login credentials once the project has concluded. The HD & ASTRO VA will not retain, store, or access any login details after project completion.

6.4. By entering into a collaboration with the HD & ASTRO VA , the Client agrees to maintain full confidentiality regarding all agreements, project details, and deliverables. The Client shall not reproduce, resell, redistribute, or publicly share any aspect of the HD & ASTRO VA services, including but not limited to methods, processes, CSS codes, widget embeds, or other proprietary materials, without the HD & ASTRO VA prior written consent.

6.5. All services and deliverables are intended solely for the Client’s personal or business use. Sharing service details, deliverables, or behind-the-scenes processes on social media, with third parties, or in any other public or private capacity is strictly prohibited.
Any unauthorized disclosure, reproduction, or resale of the HD & ASTRO VA work will be considered a breach of this agreement and may result in immediate legal action.

6.6. Clients are welcome to share general feedback or testimonials based on their experience with the HD & ASTRO VA services. However, any public statements - written or verbal - must be truthful and reflective of the actual service received.

6.7. In the event of a false, misleading, or defamatory review/information that negatively impacts the HD & ASTRO VA business or reputation, the HD & ASTRO VA reserves the right to request immediate removal of such content. If the review is not corrected or removed upon request, the HD & ASTRO VA may pursue appropriate legal action to protect their professional integrity.

7. Subcontracting Rights

7. 1. HD & ASTRO VA reserves the right to subcontract full or portions of services to qualified third parties while maintaining overall responsibility for project completion, privacy and confidentiality.

8. Pricing, Payments and Refunds

8.1. Project Commencement

• Projects will begin only after payment has been received in full, unless otherwise agreed in writing. An exception applies to Reading Digital Report Creation service, where a 70% deposit is required upfront, and the remaining 30% balance is due upon project completion. Late payments or delays beyond the agreed completion date may result in project cancellation. The HD & ASTRO VA retains full ownership—including structure and design, excluding content—of all digital reports until payment is received in full. The HD & ASTRO VA reserves the right to revoke access or remove the digital product/report if full payment is not made.

8.2. Pricing Policy

• HD & ASTRO VA services and digital products pricing is subject to change at any time. HD & ASTRO VA reserves the right to adjust fees based on the complexity of the project, scope changes, or digital product updates.

8.3. Refund Policy

• All payments made for HD & ASTRO VA services or digital products are non-refundable, due to the nature of the offerings. Digital products are delivered immediately via email and cannot be returned once accessed. For services, preparation begins as soon as payment is received and the project is confirmed, making refunds unavailable. By purchasing, the Client acknowledges and accepts this policy.

• Any disputes shall first be addressed through good faith negotiations. If unresolved within 30 days, disputes may be subject to mediation before pursuing legal action.

8.4. Additional Work & Adjustments

• If the Client requests additional tasks or modifications after the project has begun, HD & ASTRO VA reserves the right to recalculate the fee and adjust the delivery timeline accordingly. Work on the additional requests will only proceed once the revised fee is paid. If the additional payment is not made, the HD & ASTRO VA will continue based on the original project scope and agreement, excluding any new or modified requests.

8.5. Payment Method

• All payments must be submitted using the HD & ASTRO VA’s designated payment method provided on the hdastrova.co.uk.

8.6. Limitation of liability

• HD & ASTRO VA’s total liability for any legal claim arising from the services or products provided shall not exceed the total amount paid by the Client for the specific service or product in question.

• Under no circumstances shall HD & ASTRO VA be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.

• Furthermore, HD & ASTRO VA shall not be held responsible for the Client’s inability to achieve desired results from the delivered services, including but not limited to the use or sale of created reading reports, nor for any business failure, financial loss, or lack of outcomes experienced by the Client.

9. Discounts, gifts and incentives

9.1. HD & ASTRO VA may occasionally offer discounts/incentives on digital products or services. These discounts are subject to the below terms and conditions.

9.2. A discount code must be entered at the time of purchase and cannot be applied retroactively. Requests for refunds or partial refunds due to failure to enter the code during checkout will not be accepted.

9.3. Discount codes cannot be combined with other offers and may only be redeemed once per customer, unless explicitly stated otherwise.

9.4. Discount codes/gifted services or digital products have no cash value and cannot be exchanged for cash.

9.5. HD & ASTRO VA reserves the right to change or cancel any discount code/incentive at any time without prior notice.

9.6. HD & ASTRO VA is not liable for any financial loss resulting from the refusal, cancellation, or withdrawal of a discount, or from a customer’s inability to use a discount code for any reason.

9.7.HD and Astro VA may, from time to time, offer complimentary gifts or incentives to clients as a gesture of appreciation for bundle purchases or ongoing orders. HD and Astro VA reserves the right to modify, withdraw, or cancel any such gift or incentive offer at any time, particularly in cases where the original terms or conditions of the agreement/order have changed.

9.8. HD and Astro VA discount codes, gifts, and incentives are non-transferable and may only be used by the individual or business to whom they were originally offered.

10. Availability

10.1. The HD & ASTRO VA is committed to delivering projects promptly, typically within the timeframe agreed upon with the Client.

10.2. Timely completion of projects is contingent upon the Client providing all necessary content, information, and materials as scheduled. Delays in submission may result in an adjusted delivery timeline, which will be communicated once all required inputs have been received from Client. Significant delays in providing required details (more than 2 weeks from the payment date) may result in project cancellation without a refund.

10.3. All communication must be conducted via email at hd.astro.va@gmail.com. Messages sent through private social media channels will not be acknowledged or responded to.

10.4. HD & Astro VA operates from London (BST/GMT time zone) without fixed working hours. The delivery of services is at the sole discretion of HD & Astro VA, and there are no official office hours. Email communications are monitored 24/7, with a standard response time of up to 48 hours. In the event of annual leave, an autoresponder will be activated to inform clients of the expected return date and response timeframe.

10.5. HD & Astro VA operates as an independent business entity and is not part of Bodygraph.com and following terms apply.

10.6. HD & Astro VA does not provide consultation, customer service, or advisory support related to Bodygraph.com. All such inquiries must be directed to Bodygraph.com’s official support team at support@bodygraph.com.

11. Project Closure/Completion

11.1. Every project is submitted to the Client for final review/testing. While all work is always carefully proofread and tested by HD & ASTRO VA, the final responsibility for proofreading and testing lies with the Client.

11.2. The date of project submission for Client's review is considered the official project completion date. From this date, a 7-day window is provided for the Client’s review and testing, during which up to two (2) revisits for adjustments may be requested.

11.2. By ordering HD & ASTRO VA services, the Client acknowledges and accepts that minor errors or oversights may occur and agrees that such instances are reasonable. The Client is entitled to request up to two (2) revisions within a seven (7) day window following the official project completion date for final adjustments of agreed project.

11.3. Any corrections or revision requests must be submitted by Client within seven (7) days of receiving the completed work. The HD & ASTRO VA offers up to two (2) revisions within this one-week period following the official completion date. Requests exceeding the number of revisions or submitted after this time frame will be considered as new project and must be quoted and paid for before proceeding with it.

11.4. Any adjustments that are unrelated or not pre-agreed — even if pertaining to the same project (integration, app connection, report, CSS adjustment, landing page design, etc.) — will be treated as a new project and must be quoted separately and paid for prior to commencement.

12. Digital Product Delivery and Access

12.1. Digital products are delivered immediately via email, or within fourteen (14) business days of payment confirmation in the event of technical issues or delays. It is the Client’s responsibility to provide an accurate email address and to check spam or junk folders. Failure to receive a product due to incorrect contact information does not qualify for a refund.

12.2. HD & ASTRO VA is not responsible for accidental email deletion by the Client or for undelivered products resulting from an incorrectly provided Client's email address.

12.3. If a system issue is identified, the Client may contact HD & ASTRO VA for support. In such cases, the product will be re-sent within fourteen (14) days from the original order date.

13. Version Updates and Obsolescence

13.1. All digital products and services offered by HD & Astro VA are sold 'as is' on the date of purchase. HD & Astro VA may update, upgrade, improve, or discontinue any product or service at its sole discretion. Clients are not entitled to receive updated, upgraded, or improved versions of previously purchased products or services. HD & Astro VA is under no obligation to retroactively apply changes or enhancements to past purchases.

14. Client Responsibilities

14.1. The Client is responsible for providing all necessary information, resources, and instructions within the pre-agreed time frame. Delays in submitting required materials (more than 2 weeks from the payment date) may impact project deadlines or result in cancellation without a refund.

14.2. The Client must ensure that all content provided to the HD & ASTRO VA is accurate, original, and does not infringe upon copyrights or contain inappropriate or unlawful material. The Client agrees to indemnify the HD & ASTRO VA against any fines, costs, expenses, losses, or legal consequences resulting from instructions that are unlawful or require unlawful actions. If such a case is discovered, the HD & ASTRO VA reserves the right to immediately terminate services without a refund and, where applicable, report the matter to the relevant authorities.

14.3. The Client is responsible for safeguarding all completed projects, including making necessary copies and maintaining proper system setup. HD & ASTRO VA is not liable for any damage, loss, or deletion caused by the Client, the Client’s hired third-party services, system or device malfunctions, or any issues arising from third-party platforms after the official project completion date.

14.4. Clients are responsible for ensuring their systems meet minimum technical requirements for digital products and delivered services. HD & ASTRO VA is not responsible for compatibility issues with Client hardware, browsers, network or software.

14.5. HD & ASTRO VA does not collect or store copies of completed projects (including related data such as designs, content, credentials, etc.) and is not obligated to provide replacements in the event of accidental deletion by the Client, as outlined in Clause 14.3 of this Terms.

15. Critical Circumstances

15.1. Both the Client and HD & ASTRO VA reserve the right to discontinue/terminate a project/service in the event of significant delays (14 or more days) caused by the other party, lack of cooperation, or any form of disrespectful or unprofessional behaviour. A project may also be cancelled by either party in the case of a breach of these Terms and Conditions.

15.2. If the HD & ASTRO VA initiates termination due to significant delays (14 or more days) caused by the Client, lack of Client cooperation, or any form of Clients disrespectful or unprofessional behaviour, the Client will be notified via email with a clear explanation and any supporting evidence. In such cases, no refunds will be issued.

15.3. If the Client initiates termination, due to significant delays (14 or more days) caused by the HD & ASTRO VA, lack of HD & ASTRO VA cooperation, or any form of HD & ASTRO VA disrespectful or unprofessional behaviour a refund may be considered, but only upon submission of an official complaint via email, accompanied by all relevant evidence. The request will be subject to review and investigation before any decision is made. Terminations without clear communication and supporting evidence will not be eligible for a refund.

16.Respectful Conduct & Professional Boundaries

16.1. Both the Client and the HD & ASTRO VA agree to maintain a professional, respectful, and cooperative working relationship at all times.

16.2. Respectful Communication. All communication must remain courteous and professional. The HD & ASTRO VA reserves the right to terminate or pause any services immediately and without refund if the Client engages in:

• Disrespectful, aggressive, or hostile communication (including written, verbal, or online).

• Threats, intimidation, or manipulative behaviour.

• Use of unprofessional or inappropriate language.

• Harassment or personal attacks of any kind.

16.3. Unreasonable or Unjustified Demands. The HD & ASTRO VA is not obligated to accommodate any forceful demands that are:

• Outside the agreed scope of work or package purchased.

• Repetitive or unjustified after agreed tasks are completed.

• Demanding of unpaid work, excessive revisions, or ongoing changes beyond agreement.

16.4. Mutual Professionalism. Both parties are expected to communicate clearly, respond within reasonable timeframes, and collaborate in good faith.
The HD & ASTRO VA reserves the right to refuse or discontinue work with any Client whose behaviour violates professional or ethical standards, without liability.

16.5. Protection of Business Reputation. Defamation, false public statements, or negative commentary intended to damage the HD & ASTRO VA’s reputation or business may result in legal action and termination of services.

16.6. Termination Rights. If at any time the Client’s conduct becomes unprofessional, disrespectful, or threatening, the HD & ASTRO VA reserves the right to:

• End the working relationship immediately.

• Retain all payments made up to that date.

• Decline any future collaboration.

17. Force majeure

17.1. Definition & Notification: Force Majeure refers to unforeseeable events beyond the control of either party—such as natural disasters, wars, pandemics, or power outages—that prevent or delay the fulfilment of contractual obligations. The affected party must notify the other within 48 hours, providing details of the event and its expected duration. Force Majeure does not apply to delays or failures caused by poor planning, neglect, or personal life challenges.

17.2. Delay or Suspension of Services: In the event of Force Majeure, project deadlines may be adjusted, and the affected party will not be held liable for delays. Both parties will collaborate to reschedule services where feasible.

17.3. Liability & Mitigation: Neither party is liable for non-performance due to Force Majeure events. However, both parties are expected to take reasonable steps to minimize the impact on the agreement.

17.4. Termination Due to Prolonged Force Majeure: If the Force Majeure event persists for 30 days or more, either party may terminate the agreement with written notice, without penalty. Any work completed before termination will be invoiced accordingly.

17.5. Resumption of Services: Once the Force Majeure event concludes, both parties will make reasonable efforts to resume services promptly, adjusting timelines or scope as necessary.

18. Disclaimer of warranties

18.1. All HD & ASTRO VA services and digital products are provided “as is,” without any additional guarantees or promises. HD & ASTRO VA makes no warranties -express or implied - including any guarantees that the services or products will be suitable for a specific purpose, will meet the Client’s personal expectations.

18.2. The preparation of Terms and Conditions and Privacy Policies (collectively referred to as “Policies”) is provided as an advisory service only and does not constitute legal advice. It is the sole responsibility of the Client to review, edit, and ensure the Policies are accurate and appropriate for their specific business needs before implementation.

HD & Astro VA shall not be held liable for any discrepancies, inaccuracies, or business issues that may arise from the use of these documents. By engaging this service, the client acknowledges that the Policies are provided as guidance and that ultimate responsibility for their accuracy and compliance rests with the Client.

18.3. The e-products provided by HD & Astro VA, including but not limited to advisory content, templates, and strategic recommendations, are offered strictly as general guidance and do not constitute legal or financial advice. The implementation and use of any advice or content from these products is at the full discretion and sole responsibility of the Client.

18.4. Clients are responsible for exercising their own judgment in determining the suitability and applicability of the HD & Astro VA e-products content to their specific business circumstances. HD & Astro VA does not guarantee the effectiveness, accuracy, or appropriateness of the content for any particular business, nor does it assume liability for any outcomes, decisions, or actions taken based on the use of these materials.

By purchasing or accessing these products, the Client acknowledges and accepts that the content is advisory in nature and that ultimate responsibility for review, customization, and implementation lies with the Client.

19. Affiliate Marketing

19.1. Affiliate Disclosure
HD & ASTRO VA participates in affiliate programs and may earn commissions when you purchase through our links—at no extra cost to you. HD & ASTRO VA only recommends products they genuinely believe can benefit you.

19.2. Third-Party Product Disclaimer
We act solely as affiliates and do not control or provide the products/services. Purchases are made directly with third-party providers, whose terms, privacy policies, and refund policies apply. HD & ASTRO VA makes no guarantees about product quality or suitability.

19.3. Limited Liability
HD & ASTRO VA is not liable for the quality, delivery, disputes, refunds, technical issues, or any damages related to third-party products. All transactions are directly between Client and the third-party provider.

19.4. No Endorsement Beyond Recommendation
HD & ASTRO VA affiliate recommendations are not personalized professional advice. Client must conduct own research before purchasing.

19.5. Client Rights and Choices
Client are under no obligation to buy through affiliate links.

19.6. Changes to Affiliate Relationships
HD & ASTRO VA may add/remove partnerships, or update disclosures at any time.

19.7. Regulatory Compliance
